CURLEE CREW AUTHORIZED RESELLER & REFERRAL PROGRAM AGREEMENT

Snap-N-Curl — The Concealable Curler

This agreement explains the rules, responsibilities, benefits, and authorized sales practices for participating in the Snap-N-Curl Curlee Crew Reseller & Referral Program.

By purchasing a paid Curlee Crew membership, the member agrees to the terms below.

1. Curlee Crew Membership

Curlee Crew is Snap-N-Curl’s professional reseller and referral program for stylists, locticians, beauty professionals, entrepreneurs, and other approved participants.

Paid membership is activated by purchasing one of the available Curlee Crew inventory levels for the applicable membership period. Each paid membership lasts 30 days beginning on the purchase date. Renewing before expiration adds 30 days after the existing membership expires; if a membership has expired, a new 30-day period begins on the next purchase date. Membership is not automatically renewed or billed.

Current paid levels include:

• Contributor — $150 / 75 curlers
• Collaborater — $300 / 150 curlers
• Boss Concealist — $575 / 300 curlers
• Master Concealist — $1,000 / 500 curlers

Members are not required to purchase the same level during a future membership period and may move up or down based on their inventory needs.

If no new paid inventory order is placed for the next membership period, the paid membership becomes inactive.

An inactive paid member does not automatically become a Free Affiliate.

2. Authorized Reseller Status

Active paid Curlee Crew members are authorized to resell genuine Snap-N-Curl products according to the rules of the program.

Authorized reseller status applies only while the member maintains active paid Curlee Crew status.

Membership does not grant ownership of the Snap-N-Curl brand, product design, packaging designs, promotional materials, manufacturing process, or other intellectual property.

3. Authorized Sales Channels

Curlee Crew inventory is intended for in-person resale.

Members may sell Snap-N-Curl through:

• their salon or studio
• direct in-person client sales
• approved local events, pop-ups, or professional events
• other face-to-face sales approved by Snap-N-Curl

4. Online Promotion Is Allowed

Curlee Crew members may promote Snap-N-Curl online.

Members may:

• post approved Snap-N-Curl photos and promotional materials
• feature Snap-N-Curl on their website
• promote the product on social media
• discuss or demonstrate Snap-N-Curl online
• direct customers to the official Snap-N-Curl website
• place a link to the official Snap-N-Curl website on their own website, social media, or promotional materials

Online promotion does not create authorization to complete online sales independently.

5. Online Resale Is Not Permitted

Curlee Crew members may not independently sell Snap-N-Curl online.

Members may not:

• sell Snap-N-Curl through their own ecommerce website
• accept online orders for shipment to customers
• ship Curlee Crew inventory to retail customers
• list Snap-N-Curl on Amazon
• list Snap-N-Curl on Etsy
• list Snap-N-Curl on eBay
• list Snap-N-Curl on Walmart Marketplace
• list Snap-N-Curl on TikTok Shop
• list Snap-N-Curl on Facebook Marketplace
• list Snap-N-Curl on another third-party marketplace
• create a competing Snap-N-Curl online storefront
• authorize another person or company to sell their Curlee Crew inventory online

Customers who want to purchase Snap-N-Curl online should be directed to the official Snap-N-Curl website.

6. Packaging

Snap-N-Curl provides the applicable packaging materials for Curlee Crew reseller inventory.

Self-Pack

Members receiving Self-Pack inventory receive their curlers and applicable packaging materials and package their own retail inventory according to Snap-N-Curl packaging and presentation standards.

Full SNC Pre-Pack

Eligible Collaborater, Boss Concealist, and Master Concealist members may select Full SNC Pre-Pack.

When selected, Snap-N-Curl packages the member’s eligible inventory into requested retail-ready pack sizes before shipment.

Available retail pack sizes may include:

• 15 curlers
• 25 curlers
• 35 curlers
• 50 curlers

Requested configurations must equal the total inventory included with the applicable membership.

7. Product Selection and Availability

Members may select available Snap-N-Curl styles, lengths, colors, and combinations according to the options provided during enrollment.

Some styles may have different color or length availability.

All inventory selections remain subject to current material and product availability.

If a requested combination cannot reasonably be fulfilled, Snap-N-Curl may contact the member to arrange an appropriate substitution or alternate configuration.

8. Retail Pricing

Curlee Crew members receive access to current Snap-N-Curl retail pricing information for authorized resale.

Members should use the current pricing guidance and retail pack structure supplied by Snap-N-Curl.

Any formal resale-pricing requirements or policies will be governed by the current Curlee Crew pricing policy and applicable law.

9. Product Integrity

Members may resell only genuine Snap-N-Curl products supplied directly through the Curlee Crew program.

Members may not:

• manufacture Snap-N-Curl or substantially similar products
• reproduce or reverse-engineer Snap-N-Curl for commercial sale
• modify the product for resale in a way that misrepresents Snap-N-Curl
• remove or replace SNC branding in a misleading manner
• sell counterfeit or unauthorized versions of Snap-N-Curl
• provide Curlee Crew inventory to another person for unauthorized resale

10. Snap-N-Curl Branding

Members may use approved Snap-N-Curl promotional resources while participating in the program.

Members may not:

• alter the Snap-N-Curl logo in a misleading manner
• claim ownership of the Snap-N-Curl brand
• imply that their business is Snap-N-Curl itself
• register usernames, domains, businesses, or storefronts that could reasonably be confused with the official Snap-N-Curl business
• make false, misleading, medical, or unapproved performance claims about the product

11. Referral Commission Program

Curlee Crew members may earn a one-time referral commission when they refer a new participant who purchases a qualifying paid Curlee Crew membership.

Current referral commission rates are:

• Free Affiliate — 10%
• Contributor — 7.5%
• Collaborater — 10%
• Boss Concealist — 12.5%
• Master Concealist — 17.5%

The referring member’s active Curlee Crew level at the time of the qualifying enrollment determines the applicable commission percentage.

12. Qualifying Referrals

A referral commission applies only to the referred person’s initial qualifying paid Curlee Crew membership purchase.

Referral commissions do not apply to:

• membership renewals
• repeat inventory purchases
• free Affiliate enrollments
• self-referrals
• fabricated accounts
• duplicate or manipulated referrals
• fraudulent transactions
• refunded transactions
• canceled transactions
• reversed payments
• chargebacks

Shipping, taxes, and other non-membership charges are not included when calculating referral commissions.

13. Referral Commission Payment

Qualifying referral commissions are generally processed approximately 7–14 days after the qualifying transaction, provided the transaction remains valid and eligible.

A referral commission may remain pending or be withheld if the related transaction is disputed, reversed, refunded, flagged for fraud, charged back, or otherwise determined to be ineligible.

If a referral commission has already been paid and the underlying transaction is later reversed, refunded, charged back, or determined to be fraudulent, Snap-N-Curl may offset the applicable amount against future referral earnings where legally permitted.

14. No Guaranteed Income

Curlee Crew membership does not guarantee:

• product sales
• referral commissions
• customers
• profit
• business growth
• recovery of membership costs
• any specific amount of income

Each member’s results depend on their own business activity, clientele, promotion, sales performance, product mix, and other factors.

15. Handcrafted Products

Snap-N-Curl products are handcrafted and custom-made to order.

Because of the handmade process, minor cosmetic variations may occur, including small bends, glue marks, or other variations that do not prevent normal product use.

Curlee Crew orders receive priority processing, with approximately 14–21 days typically allowed for production and fulfillment before shipment. This is an estimate, not a guaranteed ship or delivery date. Shipping charges are weight-based and calculated at checkout; carrier transit time is additional. Processing and fulfillment times may vary depending on order volume, inventory size, curing time, material availability, and other production factors.

16. Cancellations, Returns, Exchanges, and Damaged Items

Curlee Crew inventory is custom-made to order.

Once an inventory order is placed and production begins, the order may not be canceled simply because the member changes their mind.

A member may choose not to place another Curlee Crew inventory order during a future membership period.

Damage or defect concerns should be reported within the applicable Snap-N-Curl reporting period and supported with photographs when requested.

Unused size or color exchanges may be considered according to the current Snap-N-Curl exchange policy.

Members are responsible for applicable return shipping unless the issue resulted from a Snap-N-Curl fulfillment error or another exception stated in the current policy.

Products that have been used, damaged by the customer, or submitted outside the applicable claim period may be ineligible for return or replacement except where required by law.

17. Customer Service Responsibilities

Curlee Crew members are responsible for providing professional service to their own retail customers.

Members should:

• accurately describe Snap-N-Curl
• provide approved product information
• avoid misleading claims
• present products professionally
• follow applicable sanitation and product-handling practices
• direct product defect concerns through the appropriate Snap-N-Curl process when necessary

Members may not promise refunds, replacements, warranties, medical results, or other remedies on behalf of Snap-N-Curl beyond the current official SNC policies.

18. Member Business Responsibilities

Each Curlee Crew participant operates independently.

Members are responsible for their own:

• business licenses
• permits
• professional licenses
• taxes
• sales-tax obligations
• bookkeeping
• client transactions
• insurance
• legal compliance
• business expenses

Curlee Crew participation does not create an employment relationship, partnership, franchise, joint venture, or agency relationship with Snap-N-Curl.

19. Confidential Information

Members may receive non-public information regarding Snap-N-Curl operations, reseller resources, promotional strategies, product information, packaging, or other business materials.

Members may not improperly disclose, reproduce, distribute, or commercially exploit confidential Curlee Crew information for unauthorized purposes.

20. Suspension or Termination

Snap-N-Curl may suspend or terminate Curlee Crew participation for violations including, but not limited to:

• unauthorized online sales
• marketplace listings
• unauthorized shipping to retail customers
• counterfeit or copied products
• misuse of Snap-N-Curl branding
• referral fraud
• chargeback abuse
• deceptive sales practices
• serious customer-service concerns
• violation of Curlee Crew rules
• conduct that materially harms the Snap-N-Curl brand or program

Termination ends the member’s authorization to represent themselves as an active Curlee Crew reseller.

21. Inventory After Membership Ends

Unless otherwise prohibited by Snap-N-Curl or applicable law, remaining genuine inventory previously purchased through Curlee Crew may generally be sold through authorized in-person channels after paid membership becomes inactive.

The former member may not represent themselves as an active Curlee Crew member and may no longer use paid-tier benefits, referral rates, exclusive resources, or active-member designations.

22. Changes to the Program

Snap-N-Curl may update Curlee Crew:

• membership levels
• pricing
• inventory quantities
• referral commission rates
• benefits
• packaging options
• product availability
• program rules
• sales-channel policies

Changes will apply prospectively as communicated by Snap-N-Curl and as permitted by law.

23. Electronic Acceptance

Checking the agreement acknowledgment and completing a Curlee Crew membership purchase constitutes electronic acceptance of the current Curlee Crew Authorized Reseller & Referral Program Agreement.

Members are encouraged to review the agreement before completing each membership purchase.

24. Governing Agreement

The final legally reviewed version of this agreement, together with applicable Snap-N-Curl policies and checkout terms, governs participation in Curlee Crew.

If any provision is determined to be invalid or unenforceable, the remaining provisions should continue to apply to the extent permitted by law.

MEMBER ACKNOWLEDGMENT

By joining Curlee Crew, I acknowledge that:

1. I understand Curlee Crew is a reseller and referral program.
2. I understand my paid membership includes a specified amount of Snap-N-Curl reseller inventory.
3. I understand I may sell my inventory in person through authorized channels.
4. I understand I may promote Snap-N-Curl online.
5. I understand I may direct online customers to the official Snap-N-Curl website.
6. I understand I may not independently sell Snap-N-Curl online.
7. I understand I may not ship Curlee Crew inventory to retail customers.
8. I understand I may not list Snap-N-Curl on online marketplaces.
9. I understand referral commissions are one-time commissions on qualifying initial paid memberships.
10. I agree to follow the current Snap-N-Curl and Curlee Crew program rules.

Snap-N-Curl reserves all rights not expressly granted through the Curlee Crew program.
